Terms of Service for FabCafe Space Service

Article 1 (Purpose and Role of the Service)

  1. These Terms of Service (hereinafter referred to as the "Terms") define the conditions for using the "FabCafe Space Service" (hereinafter referred to as the "Site") provided by Loftwork Inc. and FabCafe LLP. (hereinafter collectively referred to as the "Company").
  2. The Site is an "information provision platform" that provides information on FabCafe locations worldwide (hereinafter referred to as "Locations") and serves as a contact point for users (hereinafter referred to as "Users") to make inquiries and booking requests to each Location.
  3. The Company provides information and acts as an intermediary for contact between Users and Locations. The actual party to the usage agreement established between the User and each Location is the provider of the space. Except in cases where a User intends to use a Location directly operated by the Company, the Company shall not be a party to such agreements.

Article 2 (Establishment of Bookings and Contractual Relationship)

  1. Any content submitted by a User through the forms on the Site constitutes a "Booking Request" (an inquiry related to a booking) and does not guarantee the confirmation of a booking.
  2. The success or failure of a booking, usage fees, payment methods, and specific terms of use shall be determined through direct communication between the User and the entity operating the Location (hereinafter referred to as the "Location Operator"). The contract shall be established directly between the User and the Location Operator.
  3. In addition to these Terms, the User agrees to comply with the specific terms of use, house rules, and local laws prescribed by each Location. In the event of any conflict between these Terms and the individual regulations of a Location, the regulations of the respective Location shall take precedence.

Article 3 (Accuracy of Information and Disclaimer)

  1. Information regarding facilities, services, fees, and availability posted on the Site is based on information provided by each Location. The Company makes no warranties regarding the completeness, accuracy, timeliness, validity, or fitness for a particular purpose of such information.
  2. In the event of a discrepancy between the information on the Site and the actual conditions at the Location, the actual conditions and the agreements made with the Location Operator shall take precedence. The Company shall not be liable for any damages arising from such discrepancies.

Article 4 (Disclaimers of the Operator)

  1. Resolution of Disputes: The Company shall assume no responsibility and shall have no obligation to involve itself in any disputes or troubles arising between a User and a Location or any third party (including, but not limited to, cancellations, accidents within facilities, damage, theft, or complaints regarding service quality).
  2. System Interruption: The Company may suspend or interrupt the provision of the Site without prior notice due to maintenance, power outages, communication line failures, natural disasters, or other reasons. The Company shall not be liable for any damages incurred by the User as a result of such suspension.
  3. Linked Sites: The Company shall not be responsible for the content of external websites to which the Site may redirect (such as external forms provided by Locations) or for any damages resulting from the use of such sites.

Article 5 (Prohibited Acts)

Users shall not engage in any of the following acts when using the Site:

  1. Making inquiries with false information or malicious inquiries without the intent to book.
  2. Infringing upon the copyrights, intellectual property rights, privacy, or other rights of other Users, Location Operators, or the Company.
  3. Interfering with the operation of the Site or damaging the reputation of the Company.
  4. Transmitting harmful computer programs or attempting unauthorized access.

Article 6 (Handling of Personal Information)

  1. The Company shall appropriately handle the User’s personal information in accordance with its separate "Privacy Policy."
  2. The User agrees that the information provided through the booking forms on the Site may be disclosed to third parties who operate the requested Location (including Location Operators located outside Japan) for the following purposes:
    • (i) Confirmation, response, and procedures for confirming booking requests.
    • (ii) Identity verification and provision of services on the day of space usage.
    • (iii) Other communications related to bookings or dispute resolution.
  3. Location Operators who receive information based on the preceding paragraph shall handle personal information in accordance with the laws of the country where the Location is situated and the privacy policy established by the respective operator.
  4. By using the Site, the User agrees that their personal information may be transferred to the country where the respective Location exists (which may include countries that do not have personal information protection systems equivalent to those in Japan).

Article 7 (Governing Law and Jurisdiction)

  1. Disputes Regarding Platform Usage: Any disputes regarding the use of the Site (system operation, posted information, intellectual property rights, etc.) shall be governed by the laws of Japan, and the Tokyo District Court shall be the exclusive agreement jurisdictional court of first instance.
  2. Disputes Regarding Space Usage: Any disputes regarding troubles on the day of space usage, cancellation fees, or the performance of contracts at the Location shall be governed by the laws of the country where the respective Location is situated, and the court having jurisdiction over the location of the respective facility shall be the jurisdictional court.

Article 8 (Language)

These Terms are prepared in Japanese and may be translated into other languages. In the event of any discrepancy between the Japanese version and a translated version, the Japanese version shall prevail.
